Terms and Conditions

These Terms form a binding electronic agreement between you and Synaptor for use of its creative-media generation platform.

They are written for Synaptor's current product model: a multi-tenant, usage-billed API that orchestrates third-party AI providers to create and deliver media.

1. Acceptance and scope

These Terms and Conditions govern access to Synaptor's website, portal, APIs, software, documentation, generation services, and related support (collectively, the Services). By creating an account, using an API key, submitting a job, or otherwise using the Services, you agree to these Terms.

If you use the Services for an organisation, you represent that you have authority to bind it. An order form, enterprise agreement, data processing agreement, or service-level agreement signed with Synaptor may add to these Terms. The signed agreement controls if there is a direct conflict.

2. Eligibility

You must be at least 18 years old and legally capable of entering a contract. The Services are intended for businesses, platforms, creators, and professional teams. You may not use the Services if applicable law prohibits you from receiving them.

3. Accounts and API keys

You must provide accurate account information and keep it current. You are responsible for activity under your tenant, user accounts, and API keys, including activity by your employees, contractors, applications, and end users.

  • Keep live API keys secret and use them only from trusted server environments.
  • Do not embed secret keys in browsers, mobile applications, or public repositories.
  • Use test keys for sandbox and integration testing.
  • Notify Synaptor promptly if credentials are lost, exposed, or misused.

4. Services and generation jobs

Synaptor accepts creative briefs and media inputs, orchestrates third party and internal models, and returns generated media and related job information. Non-trivial generation is asynchronous. Jobs may be queued, processing, completed, failed, cancelled, or delivered as a clearly identified partial result.

Model availability, output characteristics, generation time, and feature status can change. Features identified as beta, preview, experimental, or roadmap are provided without a commitment to general availability. Breaking API changes will use a new version where reasonably practicable.

5. Customer content and permissions

Customer Content means prompts, briefs, text, code, images, reference media, likenesses, character data, audio, metadata, webhook data, and other material you submit. You retain your rights in Customer Content.

You grant Synaptor and its processors a worldwide, non-exclusive, limited licence to host, reproduce, transform, transmit, and otherwise process Customer Content only as reasonably necessary to provide, secure, support, and comply with law in relation to the Services. You represent that you have all rights, notices, permissions, and consents needed for the Customer Content, including for identifiable people, children, copyrighted works, trademarks, voices, and likenesses.

6. Generated outputs

As between you and Synaptor, Synaptor does not claim ownership of your generated outputs. Subject to these Terms and applicable law, you may use outputs for your business purposes.

AI outputs can be inaccurate, incomplete, offensive, non-unique, or similar to material generated for others. Synaptor does not guarantee that an output is protectable by copyright, free from third-party rights, factually accurate, or suitable for a particular publication. You must review outputs and obtain any legal, editorial, clearance, or human approval required before use.

7. Acceptable use

You must not use the Services to create, upload, distribute, or facilitate:

  • illegal, fraudulent, deceptive, defamatory, or rights-infringing material;
  • child sexual abuse material or sexual content involving minors;
  • non-consensual intimate imagery, sexual exploitation, or unlawful harassment;
  • deceptive impersonation, identity theft, or harmful deepfakes;
  • malware, credential theft, unauthorised surveillance, or security attacks;
  • content that incites violence, terrorism, discrimination, or other unlawful harm;
  • regulated professional advice presented as qualified human advice without required review; or
  • attempts to bypass safeguards, rate limits, usage controls, provenance, or billing.

You may integrate the Services into your product and provide generated media to your end users. You may not resell raw access to Synaptor, share credentials as a standalone service, reverse engineer the Services, publish benchmarks, or use the Services to build a competing model or orchestration service except where a written agreement or applicable law expressly permits it.

8. Synthetic media transparency

You must comply with laws and platform rules governing synthetically generated information. Where disclosure, labelling, metadata, watermarking, or provenance is legally required, you must preserve it and display it clearly when publishing or distributing an output.

You must not suppress, remove, obscure, or falsify a Synaptor-provided synthetic-content label, permanent metadata, unique identifier, or other provenance mechanism. You must not represent generated content as an authentic recording of a real event or person when doing so would mislead or cause harm.

9. Third-party providers

Synaptor may use cloud infrastructure, storage, content delivery, payment, analytics, support, and AI model providers to perform the Services. Provider availability and model routing may change. Synaptor remains responsible for its contractual obligations, but third-party services may have technical limits, outages, or lawful-use restrictions that affect a job.

10. Credits, billing, and refunds

Live usage is billed in credits. Synaptor may reserve an estimated amount when a job begins and settle the charge to actual metered usage when it completes, fails, is cancelled, or returns a partial result. Work already performed may be charged. Test-key sandbox usage is unbilled unless clearly stated otherwise.

Prices, taxes, payment schedules, credit validity, enterprise post-pay terms, and any refund entitlement are stated at purchase or in the applicable order form. Except where required by law or expressly agreed, successfully consumed credits are not refundable. Duplicate or erroneous charges and service failures will be investigated under Synaptor's billing and reconciliation process.

11. Availability and support

Synaptor will use reasonable efforts to operate the Services securely and reliably. Unless an enterprise agreement states otherwise, the Services have no guaranteed uptime, response time, generation time, model, or service-level commitment. Maintenance, provider incidents, safety checks, legal orders, and events beyond reasonable control may interrupt access.

12. Suspension and termination

You may stop using the Services at any time. Synaptor may restrict, suspend, or terminate access where reasonably necessary to address a security risk, payment default, legal requirement, material breach, harmful use, or threat to the Services or others.

On termination, your right to use the Services ends. Provisions that by their nature should survive, including payment obligations, ownership, confidentiality, disclaimers, liability limits, indemnity, and dispute terms, will survive.

13. Privacy, security, and confidentiality

Synaptor's Privacy Policy explains how personal data is handled. Each party will protect the other party's confidential information using reasonable care and use it only for the relationship. Enterprise customers may request a separate data processing agreement where Synaptor processes personal data on their behalf.

14. Synaptor intellectual property and feedback

Synaptor and its licensors retain all rights in the Services, documentation, software, workflows, models, branding, and improvements, excluding Customer Content and generated outputs as described above. If you provide feedback, you grant Synaptor a perpetual, worldwide, royalty-free right to use it without identifying you or disclosing your confidential information.

15. Disclaimers

To the maximum extent permitted by law, the Services are provided on an "as is" and "as available" basis. Synaptor disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. Nothing in these Terms excludes a warranty or consumer right that cannot lawfully be excluded.

16. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenues, data, goodwill, or business interruption, even if advised that such loss is possible.

Synaptor's aggregate liability arising from the Services will not exceed the fees paid or payable for the Services during the three months before the event giving rise to the claim. This limit does not apply where liability cannot lawfully be limited.

17. Indemnity

To the extent permitted by law, you will defend and indemnify Synaptor against third-party claims arising from your Customer Content, your publication or use of outputs, your end-user service, or your material breach of these Terms or applicable law. Synaptor will give reasonable notice and cooperation and will allow you to control the defence, subject to Synaptor's right to participate with its own counsel.

18. Governing law and disputes

These Terms are governed by the laws of India, without regard to conflict of law principles. The parties will first try in good faith to resolve a dispute through written notice and business discussion. If it is not resolved, courts of competent jurisdiction in India may hear the dispute, subject to any different dispute process in a signed order form. Mandatory consumer remedies remain available where applicable.

19. Changes and contact

Synaptor may update these Terms to reflect changes in the Services, law, security, or business practices. Material changes will be notified through the website, portal, or account contact before they take effect where required. Continued use after the effective date means you accept the updated Terms.
